Terms of Service
This draft explains the rules for using Sacio, the Restaurant’s responsibilities and what a Guest should expect when placing an order.

The key relationship: Sacio supplies ordering software. The participating Restaurant is the seller and is responsible for its menu, prices, food, fulfilment, Restaurant bill, refunds and dining service. Nothing in these Terms removes a consumer right that cannot lawfully be excluded. These Terms are a draft and are not a guarantee of legal compliance.
1. Definitions and who operates Sacio
Sacio is a trade name operated by Devansh Vadgama (“Sacio”, “we”, “us”). These Terms govern the Sacio public website, Restaurant workspace, Staff order receiver, QR ordering pages and related support (together, the “Service”).
- “Restaurant” means a business authorised to use the Service.
- “Owner” means a person authorised to accept terms and manage the Restaurant’s Sacio workspace.
- “Staff” means a person given a Restaurant-scoped username and password account.
- “Guest” means a person who opens a table QR or order link to browse, order or view a table session.
2. Acceptance and which terms apply
Before a Restaurant is onboarded or enters a paid plan, an Owner must affirmatively accept these Terms and the Privacy Policy for the Restaurant. The acceptance record should contain the document version and timestamp. The current application does not yet store that versioned acceptance, so this must be implemented before self-service or paid production onboarding relies on electronic acceptance.
Staff agree to the provisions relevant to account security, acceptable use, confidentiality and Service access when they use their Restaurant-provided account. A Guest agrees only to provisions relevant to the Guest ordering flow, shared table, payment-status features, acceptable use and mandatory legal rights; a Guest is not agreeing to the Restaurant’s business subscription, fee, indemnity or other business-to-business obligations.
The Service is not directed to children for independent use. A person under 18 may use the Guest ordering flow only under the supervision of a parent or lawful guardian. A minor does not independently enter the Restaurant subscription agreement.
3. Sacio and the Restaurant have different roles
Sacio provides technology that lets a Restaurant publish a menu, create table-specific QR links, receive and manage orders, coordinate Staff, produce bills and record payment status. Sacio does not prepare, advertise as seller, supply or deliver the Restaurant’s food, drink or table service.
The Restaurant shown in the ordering flow is the seller and service provider for a dining order. The contract for food and dining service is between the Guest and that Restaurant. Questions about ingredients, allergens, licences, taxes, fulfilment, cancellation, refund or dining service must be directed to the Restaurant.
4. Restaurant responsibilities
A Restaurant using Sacio must:
- provide accurate business, contact and grievance details and any licence, GST or registration information that must be disclosed;
- keep menu names, descriptions, images, prices, taxes, dietary labels and availability complete, accurate and lawful;
- prepare, store and serve orders safely and comply with food-safety, allergen, hygiene, licensing, tax and consumer-protection law;
- review orders promptly, honour accepted orders and tell Guests about rejections, substitutions or material delays;
- issue any required bill or tax invoice and handle cancellations, refunds, charge disputes and Guest complaints;
- provide required privacy notices and have a lawful basis for Staff, Guest and order data;
- create access only for authorised Staff and revoke it promptly when no longer required; and
- protect table QR links, merchant UPI details and Restaurant devices.
Sacio does not independently verify a Restaurant’s identity, menu claims, ingredients, dietary labels, licences, tax position or service quality unless expressly agreed in writing.
5. Guest orders and shared table sessions
A Guest must check the Restaurant, table, items, quantities, prices and notes before submission. Submitting an order sends a request to the Restaurant. An on-screen confirmation means Sacio recorded the request; it does not guarantee acceptance, preparation time or availability. The Restaurant may accept, clarify, reject or cancel an item where reasonably necessary.
Sacio does not currently provide a Guest self-cancellation button. After submission, the Guest must ask Staff immediately about a change or cancellation. Preparation may already have started, so a cancellation or refund is not guaranteed and remains subject to the Restaurant’s policy and applicable law.
Guests using the same active table link may see item names, quantities, prices, order statuses and the combined table total for the current session. Private order notes, payment references, Staff information, internal database identifiers and previous table sessions are not returned in the shared view. A bill request applies to the whole current table session, including orders placed from other devices at that table.
A table QR URL or table-session URL works like an access link. A Guest must not share, forward or photograph it for later or off-table use. When Staff close or verify payment for a session, later diners receive a separate session.
6. Prices, taxes, bills and Restaurant refunds
Menu prices, optional GST settings and totals are supplied or configured by the Restaurant and shown before submission. If a clear price or tax error occurs, the Restaurant must explain and correct it in accordance with law before requiring payment. The Restaurant—not Sacio—is responsible for the dining bill, tax invoice, refund policy and any refund owed to a Guest.
A Guest should raise an order, bill or refund complaint with the Restaurant first. Sacio may help route a technical complaint but cannot decide whether food was satisfactory or compel a Restaurant refund.
7. UPI, cash and payment status
If enabled by the Restaurant, Sacio may construct a UPI payment intent or QR using the Restaurant’s merchant UPI ID, payee name, table label and bill amount. Sacio does not receive, hold or settle funds and does not receive UPI PINs, card details or bank credentials.
A Guest can report a completed UPI attempt, and authorised Staff can mark receipt as verified. A Guest report is not proof of receipt. Staff verification is a Restaurant action based on its bank app, soundbox or records; it is not independent bank verification by Sacio. Sacio has no payment-provider integration that confirms settlement.
8. Paid Restaurant plans
This section applies only if a Restaurant enters a paid Sacio plan. The applicable order form or checkout must state the billing frequency, renewal method, taxes, plan limits, cancellation date and refund conditions. If those terms are not stated and accepted, Sacio must not invent or infer a price, renewal period, trial or refund promise.
Unless an accepted order form states otherwise, a cancellation request applies prospectively and does not erase charges already validly due. Any non-refundable term remains subject to mandatory law and any written service commitment. Future price or plan changes require reasonable advance notice and apply no earlier than the next renewal after that notice.
9. Accounts and security
Owners and Staff must provide accurate information, keep credentials confidential and use only accounts they are authorised to access. Each Staff account should identify one person and credentials must not be shared. A Restaurant is responsible for account activity until it revokes access or reports suspected compromise.
Sacio may require a password reset, revoke sessions, rate-limit requests or temporarily restrict access where reasonably needed to protect the Service, a Restaurant or users. Security testing requires prior written permission unless applicable law clearly provides otherwise.
10. Acceptable use
An Owner, Staff member or Guest must not use the Service to:
- break the law, deceive, impersonate, harass or cause harm;
- access another Restaurant’s workspace, orders, Staff accounts or non-public systems without authorisation;
- probe, disrupt, overload, introduce malware, evade security controls or interfere with another user;
- upload unlawful, defamatory, misleading, privacy-invasive or rights-infringing content;
- scrape or automate requests in a way that burdens the Service or circumvents a documented interface or limit; or
- resell, sublicense, frame or represent the Service as its own without written permission.
11. Restaurant content and feedback
A Restaurant retains ownership of its business names, logos, menus, descriptions and images. It grants Sacio a worldwide, non-exclusive, royalty-free licence to host, reproduce, resize, transmit and display that content only as needed to provide, secure and support the Service and comply with law. The Restaurant confirms that it has the necessary rights and permissions.
If a person voluntarily provides product feedback, Sacio may use it without restriction or payment, provided Sacio does not publicly identify the person or disclose personal or confidential information without permission.
12. Sacio intellectual property and licence
Sacio and its licensors own the Service, software, design, branding, documentation and related intellectual property. Subject to these Terms and any applicable fees, Sacio grants the Restaurant a limited, revocable, non-exclusive and non-transferable right to use the Service for internal Restaurant operations during its plan. No ownership transfers under these Terms.
13. Privacy and confidential information
The Privacy Policy explains how Sacio handles information. A Restaurant must access and use personal data through Sacio only for legitimate Restaurant operations and in accordance with applicable privacy and employment law. The Restaurant and Sacio should enter the separate Restaurant Data Processing Agreement before production processing.
Each business party must use reasonable care to protect the other’s non-public business, security and technical information and may use it only for the agreement, except where disclosure is required by law or the information is already lawfully public.
14. Third-party services
The Service uses verified infrastructure providers including Vercel for hosting and analytics and Supabase for database, Owner authentication and menu-image storage. The repository retains Web Push infrastructure for compatibility with older Staff subscriptions, but fresh devices cannot enrol through the current interface and background alerts are not a current supported feature. A retained subscription uses the push service selected by the Staff member’s browser or device. Provider availability may affect features.
A payment app, bank, Restaurant point-of-sale system, internet connection or other product not supplied by Sacio is governed by its provider’s terms. Sacio is not responsible for that provider’s acts or omissions to the extent permitted by law.
15. Availability, maintenance and changes
Sacio aims to keep the Service reliable but does not promise uninterrupted, secure or error-free operation. Maintenance, security events, device failures, connectivity problems and provider outages may interrupt access. A Restaurant should maintain reasonable manual procedures for receiving orders and taking payment during an outage.
Sacio may improve, replace or discontinue features where reasonably necessary. Sacio will try to give Owners advance notice of a material reduction in paid core functionality, except where an urgent security, legal or provider issue makes advance notice impracticable.
16. Disclaimers
To the fullest extent permitted by law, the Service is provided “as is” and “as available”. Sacio disclaims implied warranties of merchantability, fitness for a particular purpose and non-infringement. Sacio does not warrant a Restaurant’s food, menu, ingredients, allergen information, pricing, taxes, fulfilment, licences, hygiene, service quality or Guest conduct.
Nothing in these Terms excludes an express written commitment or a statutory guarantee, warranty, remedy or consumer right that cannot lawfully be excluded or restricted.
17. Limitation of liability
To the fullest extent permitted by law, Sacio is not liable for indirect, incidental, special, punitive or consequential loss, or for lost profits, revenue, goodwill, anticipated savings or data. For claims brought by a Restaurant arising from its paid subscription to Sacio, Sacio’s total aggregate liability will not exceed the greater of the subscription fees paid by that Restaurant for the three months before the event giving rise to the claim or ₹5,000.
This cap is a business-to-business subscription term. It does not apply to a Guest acting as a consumer where applying it would restrict a mandatory right or remedy. No exclusion or cap applies to fraud, wilful misconduct, breach of confidentiality, infringement caused by Sacio, death or personal injury caused by negligence where applicable, or any other liability that cannot lawfully be limited. Nothing reduces a Guest’s mandatory rights against the Restaurant supplying the food or dining service.
18. Business indemnity
A Restaurant will defend and indemnify Sacio against a third-party claim, regulatory demand or reasonable cost arising from the Restaurant’s content, food, dining service, tax or licensing failure, misuse of the Service or material breach of these Terms. This does not apply to the extent caused by Sacio’s breach, negligence or wilful misconduct. This section applies only to a Restaurant as a business customer, not to a Guest acting as a consumer.
19. Suspension and termination
Sacio may suspend or terminate access for material breach, unlawful use, security risk, non-payment or conduct creating material risk to Sacio, a Restaurant or users. Where practical, Sacio will give notice and a reasonable opportunity to cure, but may act immediately where delay would create legal, security or safety risk.
On termination, the right to use the Service ends and validly outstanding payment obligations remain due. Data is handled after termination as described in the Privacy Policy and any completed Data Processing Agreement. The production deletion and return periods are not yet selected or implemented.
20. Governing law and disputes
These Terms are governed by the laws of India. Before filing a business claim, the parties should send written notice and try in good faith to resolve it for 30 days. This does not prevent urgent interim relief.
Subject to any mandatory consumer forum, statutory complaint process or other non-waivable right, courts in India with lawful territorial jurisdiction may hear a dispute. Nothing requires a Guest acting as a consumer to give up a forum or remedy provided by law.
21. General terms and notices
If part of these Terms is unenforceable, it will be enforced to the maximum lawful extent and the remainder will continue. A delay in enforcing a right is not a waiver. A Restaurant may not assign its agreement without consent; Sacio may assign it as part of a genuine reorganisation, financing or transfer of the Service.
Neither business party is liable for delay caused by events beyond its reasonable control, except that this does not excuse payment already due. These Terms, the Privacy Policy, any accepted order form and any signed service or Data Processing Agreement are the entire agreement about the Service. A signed written agreement controls where it expressly conflicts with these Terms.
Account, security, billing and legal notices may be provided through the Service or the Owner email address. An Owner must keep that address current.
22. Changes to these Terms
Sacio may update these Terms by posting a revised version with a new effective date and “Last updated” date. A material change affecting a Restaurant subscription will apply prospectively after reasonable notice and should be accepted and versioned where required. An Owner’s sign-in alone is not a stored record of acceptance.
A Guest’s continued use applies only to the updated Guest-facing provisions where permitted by law. If a Restaurant does not accept a material business change, it may stop using the Service and cancel before the change takes effect, subject to its accepted order form.

Include your name, the relevant Restaurant, order or account context and the outcome requested. Do not send passwords, UPI PINs or card information. For a consumer grievance directed to Sacio, Sacio will acknowledge receipt within 48 hours and aim to resolve it within one month. Food, refund and Restaurant-service complaints remain the participating Restaurant’s responsibility, with reasonable technical assistance from Sacio where appropriate.
